1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Lexify website, application, and related services (the "Service") operated by Lexify ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Description of the Service
Lexify is a legal consultation marketplace that connects clients with verified lawyers in the Philippines. The Service allows you to:
- Search and view lawyer profiles, practice areas, and availability.
- Book consultations (chat, voice, or video) and pay for them through our secure held-payment system.
- Communicate with lawyers through in-app messaging and scheduled consultations.
- As a lawyer: create a profile, set availability and rates, accept bookings, and receive payments through the platform.
We facilitate the connection and transaction between clients and lawyers. We do not employ the lawyers on the platform; they are independent professionals. The Service is provided "as is" subject to these Terms.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use.
Lawyers must meet applicable professional and regulatory requirements in the Philippines. We may verify identity and credentials as part of onboarding. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to users or the Service.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable laws or regulations.
- Impersonate any person or entity or misrepresent your affiliation.
- Harass, abuse, or harm other users or our staff.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Use the Service to distribute malware, spam, or other harmful or unsolicited content.
- Circumvent or interfere with the security, integrity, or operation of the Service.
- Scrape, harvest, or collect data from the Service by automated means without our permission.
- Use the Service to facilitate transactions outside the platform for the purpose of avoiding fees or our policies.
We may investigate violations and take appropriate action, including suspending or terminating your account and reporting conduct to authorities where appropriate.
5. Bookings, Payments, and Escrow
When you book a consultation, you agree to pay the applicable fee as displayed at the time of booking. Payment is processed through our payment provider. Funds are held (payment held pending release) until the consultation is completed or the transaction is otherwise resolved in accordance with our policies (e.g. cancellation, dispute resolution). We release funds to the lawyer when the service has been delivered as agreed, subject to our payout schedule and any holds required for disputes or compliance.
Cancellation and refund policies apply as stated at the time of booking or in separate policy pages. Disputes between clients and lawyers may be escalated to us; we will work in good faith to facilitate resolution but are not obligated to decide in favor of any party. Our decisions regarding refunds or releases of held funds are final to the extent permitted by law.
Fees (including platform or service fees, if any) will be disclosed before you complete a booking. You are responsible for any taxes that may apply to your use of the Service.
6. No Legal Advice from Lexify
Lexify is a marketplace and technology platform. We do not provide legal advice, legal representation, or legal opinions. Any information or advice you receive through the Service comes from the lawyer you consult, not from us. Your use of the Service does not create an attorney–client relationship between you and Lexify. For legal matters, you should rely on the advice of your chosen lawyer and, where appropriate, seek independent legal counsel.
7. Intellectual Property
The Service, including its design, text, graphics, logos, and software, is owned by or licensed to us and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content or the Service without our prior written consent. You retain ownership of content you submit (e.g. messages, profile information); you grant us a license to use, store, and display that content as necessary to operate and improve the Service.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for the conduct of users (including lawyers), the quality or legality of services provided through the platform, or any outcomes of consultations. Your use of the Service is at your sole risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Lexify and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred United States dollars (USD 100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Lexify and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or the rights of a third party, or any content you submit or any conduct by you in connection with the Service.
11. Termination
You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account or your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will post updated Terms on this page and update the "Last updated" date. If we make material changes, we may notify you by email or through the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may close your account.
13. General
These Terms, together with our Privacy Policy and any other policies we publish for the Service, constitute the entire agreement between you and Lexify regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or transfer of our business.
These Terms are governed by the laws of the Philippines, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the Philippines, unless otherwise required by mandatory law.
